1. Introduction

Welcome to Stralen Digital LLC ("Company," "we," "our," "us"). These Terms and Conditions ("Terms") govern your use of our website located at stralendigital.com and any services offered by Stralen Digital LLC (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

2. Services

Stralen Digital LLC provides AI-powered digital marketing and automation services, including but not limited to:

• AI Workflow and Business Automation
• Website Design and Development
• Mobile Application Development
• CRM Automation and Pipeline Management
• Custom Dashboard Development
• Search Engine Optimization (SEO), Geographic SEO (GEO), and Answer Engine Optimization (AEO)
• Social Media Marketing and Pay-Per-Click (PPC) Advertising

The specific scope, deliverables, and timelines for each project will be defined in a separate Statement of Work (SOW) or service agreement signed by both parties.

3. Payment Terms

Payment terms will be outlined in each individual service agreement. Unless otherwise specified:

• All invoices are due within 15 days of the invoice date.
• Late payments may incur a 1.5% monthly interest charge.
• Services may be suspended for accounts more than 30 days past due.
• All quoted prices are in US Dollars (USD) unless otherwise stated.
• Refund policies will be specified in individual service agreements.

4. Intellectual Property

Upon full payment for services rendered, the client shall own the intellectual property rights to all custom work product specifically created for them under the applicable service agreement. Stralen Digital LLC retains the right to display completed work in its portfolio and marketing materials unless otherwise agreed upon in writing.

Any pre-existing intellectual property, tools, frameworks, or methodologies used by Stralen Digital LLC in delivering services remain the exclusive property of Stralen Digital LLC.

5. Client Responsibilities

To ensure successful project delivery, clients are responsible for:

• Providing timely access to necessary accounts, platforms, and credentials.
• Delivering required content, materials, and feedback within agreed-upon timelines.
• Designating a primary point of contact for project communications.
• Reviewing and approving deliverables within the agreed review periods.
• Ensuring all provided content and materials do not infringe on third-party rights.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Stralen Digital LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use of or inability to use our Services.
• Any unauthorized access to or alteration of your data or transmissions.
• Third-party content or conduct on our Services.
• The outcomes or results of marketing campaigns, which may be affected by factors outside our control.

Our total liability for any claims arising from or related to the Services shall not exceed the total amount paid by you to Stralen Digital LLC in the twelve (12) months preceding the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless Stralen Digital LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Services, your violation of these Terms, or your violation of any third-party rights.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the business relationship. This includes business strategies, customer data, trade secrets, and other confidential information. This obligation survives the termination of the service agreement.

9. Termination

Either party may terminate a service agreement with 30 days' written notice. In the event of termination:

• The client shall pay for all services rendered up to the termination date.
• All completed work product shall be delivered to the client upon full payment.
• Confidentiality obligations shall survive termination.

10. Third-Party Services

Our Services may involve integration with or reliance on third-party platforms and tools (e.g., CRM systems, advertising platforms, hosting providers). Stralen Digital LLC is not responsible for the availability, performance, or practices of these third-party services. Any issues arising from third-party services should be addressed directly with the respective provider.

11. No Guarantee of Results

While Stralen Digital LLC employs proven strategies and industry best practices, we cannot guarantee specific results from our marketing, SEO, or automation services. Results may vary based on industry, competition, market conditions, and other factors beyond our control. Past performance is not indicative of future results.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved in the courts located in Sheridan, Wyoming.

13. Changes to Terms

Stralen Digital LLC reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting on this page. Your continued use of our Services after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms, together with any applicable service agreements and SOWs, constitute the entire agreement between you and Stralen Digital LLC regarding the use of our Services, superseding any prior agreements or understandings.
